Terms of Service

These Terms of Service govern access to and use of Anygraph’s websites, desktop applications, documentation, and related software (the “Service”). Anygraph Inc. provides the Service together with its subsidiaries and group affiliates (collectively, “Anygraph,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms of Service. Your use of the Service is also subject to the Anygraph Privacy Policy. If you are entering into these Terms of Service on behalf of an entity, you represent that you have the legal authority to bind that entity. If you enter into an order form or other written agreement with Anygraph concerning the Service, that agreement will govern to the extent of any conflict with these Terms of Service.

The Service

Anygraph provides AI-powered software for audit, transfer pricing, accounting, and tax professionals. Subject to these Terms of Service and any applicable order form, we grant you a limited, non-exclusive, non-transferable right to use the Service for your internal business purposes.

You are responsible for your users, accounts, credentials, and activity under your account. You must provide accurate account information and keep it current.

Customer Content

“Customer Content” means documents, files, prompts, data, instructions, messages, outputs, and other content that you or your authorized users submit to, make available to, or process through the Service, or that the Service generates for you.

You retain ownership of Customer Content. You grant Anygraph the rights needed to process, transmit, display, analyze, and otherwise use Customer Content to provide, operate, support, and secure the Service. We may also use Customer Content when you submit it to us as feedback or part of a support request, or when needed to investigate potential abuse, security issues, or violations of these Terms of Service.

Anygraph will not use Customer Content to train, fine-tune, or improve foundation models or any other AI models, and will not permit a model provider or other Subprocessor to do so.

You are responsible for ensuring that you have all rights, permissions, and lawful bases needed to submit Customer Content to the Service.

Professional responsibility

The Service may generate analyses, summaries, drafts, checks, or other outputs using AI. Outputs may be incomplete, inaccurate, or unsuitable for your circumstances. Anygraph does not provide accounting, audit, legal, tax, or other professional advice. You are responsible for reviewing outputs before relying on them, and for all professional judgments, filings, opinions, reports, and decisions made using the Service.

Subject to these Terms of Service, you may use outputs generated by the Service for your internal business purposes.

Restrictions

You may not, and may not allow anyone else to, do any of the following:

  • Use the Service unlawfully or in violation of these Terms of Service.
  • Interfere with, disrupt, overload, or attempt to gain unauthorized access to the Service.
  • Reverse engineer, decompile, or attempt to discover non-public source code or systems, except to the extent applicable law permits it despite this restriction.
  • Remove proprietary notices or misrepresent the source of the Service.
  • Use the Service to build or support a competing product or to extract models, systems, or training data.
  • Benchmark or publish performance results without our prior written consent.
  • Submit Customer Content that you do not have the right to submit, or that would require Anygraph to comply with law-specific or industry-specific obligations that Anygraph has not agreed to in writing. This restriction does not prohibit ordinary audit, accounting, tax, payroll, financial, compliance, or business records that you are authorized to submit.

We may suspend access to the Service if we reasonably believe use of the Service violates these Terms of Service, creates a security risk, or may harm Anygraph, users, or third parties.

Third-party services

The Service may interoperate with third-party services, including payment processors and integrations you choose to connect. Third-party services are governed by their own terms. Anygraph is not responsible for third-party services except as expressly stated in a written agreement. Anygraph maintains the current list of Subprocessors on trust.anygraph.ai.

Payment terms

Fees, if any, are described in the applicable order, checkout flow, invoice, or written agreement. If you purchase or otherwise agree to paid access to the Service, you agree to pay those fees and applicable taxes. Fees are non-refundable except as expressly stated in writing or required by law. We may suspend or terminate paid access for overdue amounts.

Privacy, security, and data processing

Our Privacy Policy explains how we handle personal information when we act as a controller. Where Anygraph processes personal information in Customer Content on behalf of a customer, that processing is governed by the applicable customer agreement, including any applicable Data Processing Addendum.

Customer files are not stored on Anygraph infrastructure. Every Subprocessor that receives Customer Content processes it under zero data retention or ephemerally.

We maintain reasonable technical and organizational measures designed to protect Customer Content. No system is perfectly secure, and you are responsible for using the Service in a manner appropriate for the sensitivity of your data.

Intellectual property

Anygraph and its licensors own the Service, software, documentation, models, systems, design, and related technology. Except for the limited use rights expressly granted in these Terms of Service, no rights are transferred to you.

If you provide feedback or suggestions, we may use them without restriction or compensation.

Confidentiality

Each party may receive non-public information from the other party that should reasonably be understood to be confidential. Each party will use the other party’s confidential information only to perform or receive the Service and will protect it using reasonable care. Confidential information does not include information that is public, independently developed, rightfully received from a third party, or required to be disclosed by law.

Termination

You may stop using the Service at any time. We may suspend or terminate access if you breach these Terms of Service, fail to pay fees, or create a security risk, or if we discontinue the Service. After termination, your right to use the Service ends.

Disclaimers

The Service is provided “as is” and “as available.” To the fullest extent permitted by law, Anygraph disclaims all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, and availability.

Limitation of liability

To the fullest extent permitted by law, Anygraph will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, data, or business interruption.

To the fullest extent permitted by law, Anygraph’s total liability for all claims relating to the Service or these Terms of Service will not exceed the amounts you paid to Anygraph for the Service in the 6 months before the event giving rise to the claim, or USD 100 if you have not paid Anygraph.

Indemnity

You will defend, indemnify, and hold harmless Anygraph from claims, damages, liabilities, and expenses arising from your Customer Content, your use of the Service, your breach of these Terms of Service, or your violation of law or third-party rights.

Changes

We may update these Terms of Service from time to time. If changes are material, we will provide notice by posting the updated Terms of Service or by other reasonable means. Continued use of the Service after an update means you accept the updated Terms of Service.

General

These Terms of Service are governed by the laws of the State of Delaware, excluding conflict-of-laws rules. The parties will bring disputes in the state or federal courts located in Delaware, unless a written agreement states otherwise.

Neither party will be liable for delay or failure to perform, other than payment obligations, caused by events beyond its reasonable control, including natural disasters, war, terrorism, labor disputes, internet or utility failures, cloud-provider failures, governmental action, or widespread security incidents not caused by the affected party’s failure to use commercially reasonable safeguards.

You may not assign these Terms of Service without our consent. We may assign these Terms of Service in connection with a merger, acquisition, corporate reorganization, or sale of assets. If any part of these Terms of Service is found unenforceable, the rest remains in effect. A party’s failure to enforce a provision is not a waiver of its right to do so later. These Terms of Service, together with documents incorporated by reference, are the entire agreement between the parties regarding the Service.
